Subscription Service Terms and Conditions

These Terms and Conditions govern the provision of monthly health and safety consultancy subscription services by 1901 Ltd ("1901 Ltd", "we", "us", "our") to the client ("you", "your"). By setting up a Direct Debit and subscribing to one of our monthly plans, you agree to be bound by these Terms and Conditions.
1. The Parties
1901 Ltd is a health and safety consultancy registered in England and Wales. Our registered address is Unit 18, Little Malgraves Industrial Estate, Lower Dunton, Upminster, RM14 3TE.
The client is the individual or business entity that subscribes to one of our monthly support plans and sets up a Direct Debit mandate via GoCardless.
2. Subscription Plans
We offer three monthly subscription plans:
Essential Health & Safety Support — £150 per month plus VAT. Suitable for small and lower-risk businesses requiring ongoing professional support.
Professional Health & Safety Support — £300 per month plus VAT. Suitable for small businesses, contractors and companies that require regular site support.
Premium Health & Safety Support — £500 per month plus VAT. Suitable for construction companies, contractors and higher-risk businesses requiring regular professional support.
The specific services included in each plan are as described on our website at the time of subscription. We reserve the right to amend plan inclusions on reasonable notice.
3. Fees, VAT and Payment
All subscription fees, additional services, expenses and other charges are stated exclusive of VAT. VAT will be added at the prevailing rate where applicable.
Monthly subscription fees are collected by Direct Debit via GoCardless on or around the same date each month, beginning on the date your mandate is established.
Additional services, site visits, specialist inspections, expenses and disbursements will be invoiced separately and are payable within 14 days of the invoice date unless otherwise agreed in writing.
If a Direct Debit payment fails, we will notify you and attempt to collect the payment again. If payment remains outstanding for more than 14 days, we reserve the right to suspend services until the account is brought up to date.
We reserve the right to review and adjust subscription fees on not less than 30 days' written notice. Continued use of the service after the effective date of any price change constitutes acceptance of the new fee.
4. Commencement and Duration
Your subscription commences on the date your Direct Debit mandate is established and your first payment is collected.
Subscriptions are rolling monthly contracts with no minimum term unless otherwise agreed in writing.
5. Cancellation
You may cancel your subscription at any time by giving us not less than 30 days' written notice by email to [email protected] or [email protected].
Cancellation takes effect at the end of the notice period. Fees already collected are non-refundable unless we are in material breach of these Terms and Conditions.
You may also cancel your Direct Debit mandate directly with your bank at any time; however, this does not constitute notice of cancellation under these Terms and Conditions and does not relieve you of any outstanding payment obligations.
We reserve the right to terminate your subscription immediately if you are in material breach of these Terms and Conditions, including persistent non-payment.
6. Scope of Services
Our subscription services provide general health and safety consultancy support as described for each plan. They do not constitute legal advice and should not be relied upon as a substitute for independent legal advice.
We will use reasonable skill and care in providing the services. Our advice is based on the information you provide to us; it is your responsibility to ensure that information is accurate and complete.
Services are provided remotely by telephone and email unless a site visit is expressly included in your plan or separately agreed. Site visits outside the scope of your plan are charged at our then-current subscriber rate.
We do not accept responsibility for decisions made by you or your employees based on our advice, nor for any failure by you to implement recommendations we make.
7. Your Obligations
You agree to provide us with accurate, complete and timely information necessary for us to provide the services.
You are responsible for implementing any recommendations we make and for ensuring your business complies with all applicable health and safety legislation.
You agree to pay all fees and charges when due.
8. Limitation of Liability
Nothing in these Terms and Conditions limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
Subject to the above, our total aggregate liability to you arising out of or in connection with these Terms and Conditions, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
We shall not be liable for any indirect, consequential, special or punitive loss or damage, loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of data or loss of goodwill, whether or not such loss was foreseeable or we had been advised of its possibility.
9. Intellectual Property
All documents, templates, reports and other materials we produce for you remain our intellectual property unless we agree otherwise in writing. We grant you a non-exclusive licence to use such materials for your own internal business purposes.
You must not reproduce, distribute or sell our materials to third parties without our prior written consent.
10. Confidentiality
Each party agrees to keep confidential all information received from the other party that is designated as confidential or that ought reasonably to be considered confidential, and not to disclose it to any third party without the other party's prior written consent, except as required by law.
11. Data Protection
We will process any personal data you provide to us in accordance with our Privacy Policy and applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018.
By subscribing, you consent to us processing your personal data for the purposes of providing the services and administering your subscription.
12. GoCardless Direct Debit
Direct Debit payments are processed by GoCardless Ltd, a third-party payment processor. By setting up a Direct Debit mandate, you also agree to GoCardless's own terms and conditions, available at gocardless.com.
The Direct Debit Guarantee applies to all Direct Debit payments collected under this agreement.
13. Amendments
We may amend these Terms and Conditions from time to time. We will give you not less than 30 days' written notice of any material change. Continued use of the service after the effective date of any amendment constitutes acceptance of the revised Terms and Conditions.

14. Governing Law and Jurisdiction
These Terms and Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the law of England and Wales.
The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions.
15. Entire Agreement
These Terms and Conditions constitute the entire agreement between the parties in relation to their subject matter and supersede all previous agreements, understandings and arrangements between the parties, whether oral or in writing.
